CynAI — Elite AI Automation

Summary: These Terms govern your use of all Chatpliance Consultancy services and CynAI products. They apply to all clients — whether you operate online, physical, or both. Governed by the laws of the Province of Ontario, Canada. Questions? Email us before signing.

1. Services Provided

Chatpliance Consultancy Inc is an AI automation company. We design, build, deploy, and manage intelligent AI systems for businesses that operate online, in physical locations, or both. Our services span the full spectrum of AI automation including conversational AI, revenue and commerce AI, business process AI, and agentic AI systems. These Terms cover all current services and all future AI-powered services Chatpliance may develop. Expanding your plan does not require a new Terms document — only a signed addendum or updated proposal.

2. Eligibility

By using our services, you confirm you are at least 18 years of age, have legal authority to enter a binding agreement, operate a legitimate business that generates revenue, hold valid business registrations and platform accounts necessary for CynAI integration, and are not engaged in any fraudulent, deceptive, or unlawful business activity.

3. Client Responsibilities

CynAI performs only as well as the information you provide. You agree to: provide accurate, complete, and current information including product catalog, FAQs, pricing, and credentials; review and formally approve CynAI responses before go-live; notify Chatpliance within 5 business days of any material changes to your products, pricing, or policies; comply with CASL, CAN-SPAM, and applicable anti-spam laws; and ensure all third-party platforms we integrate with are legally licensed and accessible.

4. Intellectual Property

All software, AI models, prompt configurations, and automation workflows developed by Chatpliance remain our exclusive property. You retain full ownership of your data — product catalog, customer data, and conversation logs — but grant us a limited, non-exclusive licence to use it solely to deliver and improve your CynAI service. We do not use your data to train AI models for other clients. On cancellation, you receive a full data export within 7 business days. We delete your data within 30 days.

5. Fees & Payment Terms

Setup Fee: a one-time fee covering project scoping, data ingestion, prompt engineering, QA testing, and deployment — quoted after the discovery call based on your store’s complexity. Monthly Fee: covers ongoing operations, conversation handling, CRM sync, monthly updates, and performance reporting. Payment Terms: Net 15 or Net 30 as specified in your invoice. Late payments may result in service suspension. All fees are non-refundable unless explicitly stated otherwise in writing at time of agreement. Your monthly fee is fixed and confirmed before you go live.

7. Service Availability & Support

CynAI agents are designed for 24/7 availability across all active channels. Scheduled maintenance is conducted during low-traffic windows and communicated in advance. Each plan includes 2–4 scheduled monthly updates. A monthly performance report is delivered to every client. Note: No formal Service Level Agreement is provided unless explicitly agreed upon in a separate written contract. Enterprise clients may request SLA terms during discovery.

8. Acceptable Use

You agree not to use CynAI services to: engage in unlawful, deceptive, or malicious business practices; interfere with security measures or attempt unauthorised access to any system or data; reverse-engineer, decompile, or copy our AI systems, software, or prompt configurations; collect or process customer data in violation of PIPEDA, GDPR, or CASL; or send unsolicited communications in violation of Canada’s Anti-Spam Legislation.

9. Termination & Suspension

Either party may terminate services with 30 days written notice. We may suspend or terminate services immediately if you breach these Terms, payments are overdue after reasonable notice, or if required by law. No lock-in. Cancel with 30 days written notice. No cancellation fees. Your data is returned to you in full within 7 business days and deleted from our systems after 30 days.

10. Third Party Platform Disclaimer

CynAI operates through integrations with third-party platforms including Shopify, WooCommerce, Magento, BigCommerce, HubSpot, Salesforce, Klaviyo, Twilio, WhatsApp, Messenger, and SMS providers. Chatpliance Consultancy is not affiliated with, endorsed by, or responsible for the actions, outages, policy changes, or performance of these platforms. Platform outages do not constitute a breach of contract. We will notify you promptly and work to restore functionality as quickly as possible.

11. Force Majeure

Chatpliance Consultancy shall not be held liable for any failure or delay in delivering services where such failure results from natural disasters, infrastructure failures, third-party AI platform disruptions, government actions or regulations, cyberattacks or security incidents where not caused by our negligence, or pandemic or public health emergencies. We will notify you within 48 hours of becoming aware of any Force Majeure event and resume services as soon as reasonably practicable.

12. Dispute Resolution

Step 1 — Direct Communication: Either party must first notify the other in writing of the dispute. Parties agree to engage in good-faith discussions for 14 calendar days. Step 2 — Mediation: If direct communication fails, either party may request formal mediation through a mutually agreed mediator in London, Ontario, Canada. Step 3 — Formal Resolution: If mediation does not reach a conclusion, the matter may be referred to binding arbitration or the courts of Ontario, Canada. Chatpliance’s position: Direct communication resolves most professional disagreements. We encourage all clients to contact us directly before initiating any formal step.

13. Limitation of Liability

To the maximum extent permitted by law, Chatpliance Consultancy is not liable for: indirect, incidental, or consequential damages arising from your use of CynAI services; business losses or service disruptions caused by third-party integration failures; any claims exceeding the total fees paid within the last three months; or losses arising from inaccurate or outdated data provided by the client.

14. Defence & Indemnity

You agree to defend, indemnify, and hold harmless Chatpliance Consultancy, its affiliates, officers, employees, contractors, and partners from any claims, damages, losses, or expenses — including legal fees — resulting from your use or misuse of CynAI services, any violation of these Terms, content or data you provide that infringes on third-party rights, or any other legal or contractual breaches resulting from your actions.

15. Governing Law & Contact

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
